Legal Counsel -- Help build a Nordic AI infrastructure platform

About the role

Fossefall is building a Nordic platform for sovereign AI infrastructure powered by renewable energy. The company develops and structures large-scale AI infrastructure projects across the Nordics and works closely with international investors, technology partners and local stakeholders.

As the company grows, we are strengthening our organization with a Legal Counsel who will support project development, commercial agreements and corporate legal matters.

This is a hands-on role where you will handle day-to-day legal matters across the organization, working closely with the CEO, CFO and project teams. The role combines internal legal ownership with coordination of external advisors when specialized expertise is required.

Responsibilities

The Legal Counsel will support the company across key legal areas, including:

Commercial agreements

• Draft and negotiate commercial agreements with partners, suppliers and customers
• Support development agreements related to land, infrastructure and project development
• Manage NDAs, letters of intent and other early-stage agreements

Project development and infrastructure contracts

• Support legal aspects of infrastructure project development
• Assist with contracts related to engineering, construction and technical suppliers
• Review and negotiate agreements related to project execution and partnerships

Corporate legal matters

• Support corporate governance and shareholder-related matters
• Assist with legal aspects of financing processes and investor documentation
• Contribute to maintaining company legal documentation and contract templates

Coordination of external counsel

• Coordinate with external legal advisors in Norway and internationally when specialized expertise is required
• Support management in structuring legal workstreams across jurisdictions

Qualifications

We are looking for someone who is structured, commercially minded and comfortable working in a growing company.

Relevant qualifications include:

• Law degree
• 3--7 years experience from a law firm or in-house legal role
• Experience with relevant commercial contracts and corporate legal matters
• Strong written and verbal communication skills in English
• Structured working style and strong attention to detail

Experience from infrastructure, energy, technology or project development environments is an advantage.
